Being online doesn't make your business less of a business.

Many business owners celebrate the day they receive their CAC certificate. They frame it, post it and move on.

But what many people do not know is this: registering your business is not the end, it's the beginning.

After registration, every business, Company or NGO is expected to file something called Annual Returns.

Annual Returns simply means you are updating CAC every year to show that your business is still active.

It is not a new registration, it's not a new certificate, it's just an official yearly update. Think of it like renewing a document to keep your business in good standing.

If you fail to file your Annual Returns as required, your business can become inactive on the CAC public records.

This can become a problem when you need your business documents for certain opportunities or transactions.

In some cases, your registration number may be searched or verified, and the status can show as inactive.

That is why you shouldn't just register your business, collect the certificate and forget about it. Keep your business compliant by filing your Annual Returns when due.

If your business is already showing inactive, you may need to clear the outstanding filings and penalties to bring it back to an active status.

Now let us break it down clearly.

For a Business Name, the first Annual Return is filed 18 months after the date of registration. After the first filing, subsequent Annual Returns are filed every 12 months (one year).

So, for example, if you registered your Business Name in 2023, the first Annual Return is not simply calculated as one year from the registration date. The first filing falls after the initial 18-month period, and thereafter, you file annually.

If the filing fee is ₦5,000 per year and you ignore it for three years, here is what happens:

Year 1 missed = ₦5,000

Year 2 missed = ₦5,000

Year 3 missed = ₦5,000

That is already ₦15,000. Now add late penalties.

CAC charges for each year missed. That increases the total significantly.

Instead of paying ₦5,000 yearly, you may end up paying ₦15,000 or more at once just to correct it.

In extreme cases, CAC can mark the company as inactive or even strike it off the register. When a company is struck off, it means it is removed officially.

Recovering it can cost much more money and stress. Ignoring annual returns does not mean CAC forgets about your business. The records remain there and the debt keeps adding up quietly.

Many business owners only remember annual returns when they urgently need a document and discover they owe for several years.

It's always cheaper and safer to file yearly than to fix years of backlog.

Someone can collect money from you to register your business and still register the wrong thing.

And this is why I always tell business owners: don't rush to register because someone said “CAC.” Understand what you are registering first.

A business name, a limited liability company and an incorporated trustee are not the same thing. They are different structures meant for different purposes.

So before you pay for registration, ask yourself:

What exactly am I building?

How is the business structured?

And what type of registration actually fits what I want to do?

Because getting a CAC certificate is not the whole lesson, understanding the structure you're putting your business into is part of being a business owner.

Another business registration successfully completed.

Yesterday, another entrepreneur moved from simply operating a business to putting proper structure around it.

And this is one thing I want business owners to understand: don't wait until your business becomes “big” before you start taking the structure seriously.
